We work exclusively with privately-held, entrepreneur-led, and family-owned business owners in connection with a sale. We add value by managing and executing confidential sale processes targeting select, best-fit buyers for our clients’ companies. We achieve enhanced outcomes by coming up with creative solutions, leveraging competitive tension in the marketplace, and taking the complex and making it simple.
We have advised on transactions ranging in size from $20 million to over $1 billion. Desired deal structures vary from a 100% sale of the business to a majority sale with continued management and equity participation to a minority sale involving a financial or strategic investor. Our job is to create options for our clients. Our clients’ objectives ultimately drive the transactions we execute.
A recapitalization is a financial acquisition technique primarily used by private equity groups and/or private investors. It allows a business owner to sell a portion of the business, while retaining some equity to take advantage of future growth. A private equity recapitalization gives owners the potential to crystallize the value of their retained equity for a second time when the company is sold again by the private equity investor. Oftentimes, this strategy is used to simplify the ownership structure by buying out minority shareholders and injecting growth capital into the business.
We have extensive experience raising growth capital and project finance capital ranging from $10 – $200 million. We leverage our deep relationships with institutional investors including private equity, growth equity, venture capital, family offices, corporations, institutional debt providers, and international sources of capital. The transactions we help facilitate allow companies to build long-term capital partnerships to achieve growth and succeed.
We assist clients as they consider options for the future growth and strategic direction of their business.
Some of these services include:
Performing a valuation of the business
Analyzing the industry landscape and market trends
Developing strategies which may include potential acquisitions (both identifying and evaluating targets) and/or divestitures
Identifying the potential buyer universe
Exploring and arranging financing options
Being a trusted member of your advisory team (i.e., Board of Directors, Tax Specialist, Estate Planner, Wealth Advisor, etc.)
We help prepare a company for sale by analyzing an owner’s business and consulting the owner on key valuation drivers and major due diligence areas. As needed, we assist our clients in implementing corrective actions to improve the marketability of the business.
When thinking about what aspects of your business could be improved, streamlined, or de-risked, put yourself in a competitor’s or buyer’s shoes. If you were competing with your business, what would you identify as weaknesses to go after? Perhaps a significant amount of your business comes from only a few customers. Perhaps you are using outdated or inefficient software to manage inventory or customer accounts. Is your management team strong and able to continue running the business without you? Have you invested in having audited financial statements prepared? Do you have a clear growth strategy? Have you given thought to valuation of your business and what it might be worth? Have you considered the right time to sell your business in order to maximize value and accomplish personal and estate planning objectives?
It’s never too early to start preparing.
Business valuations are powerful, and often necessary, tools for business owners. Whether you are thinking of selling or buying a company, formulating gifting and estate planning strategies, valuing a portfolio of illiquid stocks, or implementing a stock incentive plan, an independent business valuation is crucial.
Our team has over 20 years of experience advising on valuation enhanced by actual market transactional experience. We believe that our combined valuation technical skills and experience with selling middle-market companies provides us with unique capabilities to best assess fair market value for closely-held businesses and shareholdings.
How do I sell my business? What is my business worth? Who is the right buyer for my business? When is the right time to sell a business? How do I maximize value in my business? We’ve answered these questions and more for countless business owners. We are M&A Advisors to middle-market private companies. If you have questions about selling your business, we’d like to help.
